These Terms of Use (“Terms”) govern your use of the services provided by FUNDEX GLOBAL LTD. (hereinafter referred to as 'FUNDEX') on our platform. By accessing or using our website and services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our services.
1. Definitions
1.1. 'Platform' refers to the website and online services provided by FUNDEX.
1.2. 'Freelancer' refers to a registered user of the Platform who offers services and receives payments.
1.3. 'Employer' refers to a registered user of the Platform who hires Freelancers and makes payments for their services.
1.4. 'Fiat Currency' refers to government-issued currency, such as USD, EUR, etc.
1.5. 'Cryptocurrency' refers to digital currency used and exchanged through the Platform.
2. Registration and Account Use
2.1. To use our Platform, Freelancers and Employers must register and create an account.
2.2. Users must provide accurate and up-to-date information when registering.
2.3. Users are responsible for maintaining the confidentiality of their account information and for any activities under their account.
2.4. FUNDEX reserves the right to suspend or terminate accounts that violate these Terms.
3. Payment and Transactions
3.1. Freelancers may receive payments from Employers in either Fiat Currency or Cryptocurrency.
3.2. If payment is made in Cryptocurrency, Freelancers have the option to:
- Keep the funds in Cryptocurrency.
- Use a FUNDEX-provided card to pay for goods and services.
3.3. If payment is made in Fiat Currency, Freelancers can:
- Retain the funds on the Platform.
- Withdraw the funds to their designated bank account.
3.4. All transactions are subject to applicable fees, which will be disclosed before the transaction is processed.
4. Use of the FUNDEX Card
4.1. The FUNDEX card allows Freelancers to use their funds (in either Fiat Currency or Cryptocurrency) to make payments for goods and services.
4.2. The use of the FUNDEX card is subject to additional terms and conditions, which will be provided upon issuance of the card.
5. Fees and Charges
5.1. Users agree to pay all fees and charges associated with the use of our Platform and services.
5.2. FUNDEX reserves the right to modify fees and charges at any time, with prior notice to users.
6. Compliance and Security
6.1. Users must comply with all applicable laws and regulations when using our Platform.
6.2. FUNDEX implements security measures to protect user information, but users are responsible for securing their accounts and personal data.
6.3. In case of suspicious or unauthorized account activity, users must notify FUNDEX immediately.
7. Limitation of Liability
7.1. FUNDEX is not liable for any indirect, incidental, or consequential damages arising from the use of our Platform.
7.2. FUNDEX does not guarantee the continuous, uninterrupted, or secure access to the Platform and services.
8. Amendments
8.1. FUNDEX reserves the right to modify these Terms at any time.
8.2. Users will be notified of significant changes, and continued use of the Platform after such changes indicates acceptance of the new Terms.
9. Governing Law
9.1. These Terms are governed by and construed in accordance with the laws of the jurisdiction in which FUNDEX is registered.
9.2. Any disputes arising from these Terms will be resolved in the courts of the same jurisdiction.
10. KYC Verification
10.1. All users must complete the KYC (Know Your Customer) verification process before accessing certain services on the Platform.
10.2. FUNDEX reserves the right to request additional documentation and information during the KYC process.
10.3. FUNDEX may refuse or suspend services if a user does not meet our compliance requirements or if their profile does not align with our risk appetite.
10.4. Users agree to keep their KYC information up-to-date and to notify FUNDEX of any changes.
10.5. FUNDEX is not liable for any delays or interruptions in service that result from incomplete or failed KYC verification.
10.6. FUNDEX may, at its sole discretion, terminate or restrict access to the Platform if a user poses a risk, fails to comply with verification procedures, or if there are concerns about fraudulent or illegal activities.
11. User Responsibilities
11.1. Users are responsible for ensuring that their use of the Platform complies with all applicable laws and regulations.
11.2. Users must not engage in activities that could harm the Platform, other users, or FUNDEX, including but not limited to hacking, data breaches, or fraud.
11.3. Users agree not to misuse the Platform for any unlawful or unauthorized purpose, and any violation may lead to legal action and/or account termination.
12. Data Protection and Privacy
12.1. FUNDEX is committed to protecting the privacy and security of user data in accordance with applicable data protection laws.
12.2. By using the Platform, users consent to the collection, use, and processing of their personal information as outlined in the Privacy Policy.
12.3. Users have the right to access, correct, or delete their personal information by contacting FUNDEX's support team.
12.4. FUNDEX implements security measures to protect user data but cannot guarantee absolute security due to the nature of online services. Users are encouraged to use secure practices to safeguard their accounts.
13. Intellectual Property
13.1. All content, trademarks, logos, and other intellectual property on the Platform are the property of FUNDEX or its licensors.
13.2. Users are granted a limited, non-exclusive license to use the Platform for personal or business purposes as defined by these Terms.
13.3. Users must not reproduce, distribute, or create derivative works from any content on the Platform without prior written permission from FUNDEX.
14. Dispute Resolution
14.1. Any disputes arising from or in connection with these Terms will be resolved through amicable negotiation between the parties.
14.2. If a resolution cannot be reached through negotiation, the dispute will be submitted to mediation or arbitration, as agreed upon by the parties.
14.3. Users agree to submit to the exclusive jurisdiction of the courts located in the jurisdiction where FUNDEX is registered for any unresolved disputes.
15. Termination
15.1. FUNDEX reserves the right to suspend or terminate user accounts at any time, with or without notice, for violations of these Terms or for any reason at FUNDEX’s discretion.
15.2. Upon termination, users must cease all use of the Platform and any associated services. Any outstanding fees or obligations remain due.
16. Force Majeure
16.1. FUNDEX is not liable for any failure to perform its obligations under these Terms if such failure results from circumstances beyond its reasonable control, including but not limited to natural disasters, war, strikes, or interruptions in telecommunications or internet services.
17. Warranties and Disclaimers
17.1. The Platform and services are provided 'as is' and 'as available,' without any warranties of any kind, either express or implied.
17.2. FUNDEX does not warrant that the Platform will be error-free, secure, or operate without interruption. Users use the Platform at their own risk.
18. Limitation of Liability
18.1. To the fullest extent permitted by law, FUNDEX shall not be liable for any indirect, incidental, special, or consequential damages arising from or related to the use of the Platform.
18.2. FUNDEX’s total liability to any user for all claims related to the Platform shall not exceed the amount paid by the user to FUNDEX in the preceding 12 months.
19. Indemnity
19.1. Users agree to indemnify, defend, and hold harmless FUNDEX and its affiliates, directors, employees, and agents from any claims, damages, or expenses arising from their use of the Platform or violation of these Terms.
20. Third-Party Links
20.1. The Platform may contain links to third-party websites or services that are not owned or controlled by FUNDEX.
20.2. FUNDEX is not responsible for the content, privacy policies, or practices of any third-party websites or services. Users access third-party content at their own risk.
